Welcome to Lectoria (“Lectoria”, “we”, “us”, or “our”). Lectoria is an online platform that enables creators to create, publish, sell, and distribute digital educational content, and enables learners to purchase and access such content.
By accessing or using Lectoria (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service.
2. Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.
By using Lectoria, you represent that you are legally capable of entering into a binding agreement.
3. Accounts
You may need to create an account to use certain features.
You are responsible for:
- safeguarding your account credentials,
- all activity that occurs under your account.
You agree to notify us promptly of any unauthorized use of your account.
4. Creators
If you publish content on Lectoria (“Creator Content”), you represent and warrant that:
- you own or have all necessary rights to the content,
- the content does not violate any laws or third-party rights,
- the content is accurate and not misleading.
You retain ownership of your Creator Content.
By uploading content, you grant Lectoria a non-exclusive, worldwide, royalty-free license to host, store, reproduce, distribute, display, and make your content available through the Service for its intended purpose.
We may remove or restrict content that violates these Terms or applicable laws.
5. Learners & Digital Content
When you purchase a course:
- you receive a limited, personal, non-transferable, non-exclusive license to access the content,
- you may not copy, redistribute, resell, or share the content.
All content is digital and deemed delivered immediately upon purchase or access.
Except where required by law, all sales are final and non-refundable.
6. Payments, Fees & Payouts
Lectoria processes payments on behalf of creators and charges a platform fee per transaction.
Creators are responsible for:
- providing accurate payout and tax information,
- complying with all applicable tax laws.
Payouts may be delayed or withheld due to account verification, fraud prevention, chargebacks, or third-party payment processor requirements.
7. Third-Party Services
The Service may integrate with third-party services, including payment processors.
Lectoria is not responsible for disruptions or failures caused by third-party services beyond our reasonable control.
8. Prohibited Use
You agree not to:
- violate any laws or regulations,
- infringe intellectual property or privacy rights,
- attempt unauthorized access to the Service,
- interfere with the security or functionality of the platform,
- use the Service for fraudulent or abusive activities.
9. Termination
We may suspend or terminate access to the Service at any time if:
- you violate these Terms,
- your use creates legal, security, or operational risk.
You may stop using the Service at any time; however, stopping use does not automatically remove content you have already published or terminate any licenses or obligations related to previously sold content.
Termination does not affect accrued rights or obligations.
10. Disclaimers
The Service is provided “as is” and “as available”.
We do not guarantee:
- uninterrupted or error-free operation,
- that content will meet your expectations or specific outcomes.
Educational content is provided by creators, and Lectoria does not guarantee its accuracy or effectiveness.
11. Limitation of Liability
To the maximum extent permitted by law, Lectoria shall not be liable for:
- indirect or consequential damages,
- loss of profits, data, or business opportunities.
Our total liability shall not exceed the amount you paid to Lectoria in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Lectoria and its officers, directors, and employees from any claims arising out of:
- your use of the Service,
- your content,
- your violation of these Terms or applicable law.
13. Changes to Terms
We may update these Terms from time to time.
Continued use of the Service after changes means you accept the updated Terms.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
